Arrail Group: Trading in Shares Continues to Be Suspended, Publication of Financial Results and Holding of Shareholders’ Meeting Postponed

DentalGoodNews｜Arrail Group Limited (06639.HK, hereinafter referred to as "Arrail Group") announced on September 30 that it will further delay the publication of its outstanding financial results, including the 2025 interim results and the 2025/26 annual results, and the corresponding interim report and annual report will also be further delayed in despatch.

The announcement stated that the above results were originally expected to be published around the end of September 2026; however, based on the latest discussions with the auditor HLB Hodgson Impey Cheng Limited (HLB), HLB requires additional time to complete the remaining review and/or audit procedures, and the publication of results has therefore been delayed again.

Pursuant to Rule 13.46(2)(b) of the Listing Rules and Article 62 of the Articles of Association, Arrail Group was originally required to hold an annual general meeting and present the annual financial statements to shareholders within six months after the end of the financial year (i.e., no later than September 30, 2026); due to the delayed publication of the 2025/26 annual results and annual report, the 2026 annual general meeting is expected to be postponed to a date after that deadline.

According to previous reports by DGN, Arrail Group's shares have been suspended from trading on the Stock Exchange since December 1, 2025, and in its quarterly update as of September 1, 2026, it disclosed that regarding the progress of the independent investigation, the investigator has substantially completed the final stage of interviews with the company's current employees, consolidated the investigation findings and prepared a draft report for submission to the independent investigation committee. The final investigation report is expected to be submitted to the independent investigation committee in early September 2026, and upon completion, the company will submit the draft report to the Stock Exchange for review.

In addition, the company also disclosed operational data in its quarterly update: during the period from April 1 to June 30, 2026, Arrail Group recorded a total of 507,612 patient visits, representing a year-on-year increase of approximately 4.4%. Among them, the premium brand "Arrail Dental" recorded 126,158 visits, while the mid-range brand "Rytime Dental" recorded 381,454 visits. The company also noted that the auditor HLB is conducting the audit of the 2025/26 annual results, and the company expects to publish the above results around the end of September 2026. However, the latest announcement on September 30 shows that the review and audit procedures have still not been completed, and the specific completion time is subject to the company's subsequent announcements.

Arrail Group stated in this announcement that it will make every effort to publish the results and hold the annual general meeting as soon as possible, and will continue to publish quarterly update information in accordance with the requirements of the Listing Rules; the company's shares will remain suspended from trading until the publication of the above results and other inside information that should be disclosed.
