Spanish Dental Chain Shifts from Franchise to Direct Operation, Private Equity Platform Exits with Nearly 3x Return

In this transaction, existing minority shareholder Alter Capital and Dental Company CEO Francisco Ruiz participated as retaining investors.

According to public information, Dental Company was founded in 2009 and is headquartered in Seville, Spain. As of the transaction's completion, the company operates over 120 clinics in Spain, primarily in small and medium-sized cities, making it one of the top three dental chain networks in the country by clinic count. It is reported that the company has gradually transitioned from a franchise model to an integrated operational model based on direct clinic management in recent years.

Transaction details show that former majority shareholder Otium and shareholder Headway Capital Partners have exited their investments in Dental Company. According to Otium, it acquired the company in 2017 and achieved a return of nearly three times its investment through this exit. The investment was made by Metric Capital through its fifth private equity fund (Fund V), marking the fund's sixth investment, its third in the healthcare sector, and its eighth Private Equity (PE) investment in Spain.

Following the transaction's completion, Metric Capital stated it will work with Alter Capital and management to drive Dental Company into a new phase of development, aiming to expand its clinic network to approximately 200 locations by 2028.
