Mitsui Chemicals Plans $900 Million Acquisition of Ultradent Products, Aiming to Become the World’s Second-Largest Dental Materials GroupIssuing time:2026-06-15 11:51
DentalGoodNews|On June 12, 2026, Mitsui Chemicals, Inc. (Japan) announced that its wholly-owned subsidiary, Mitsui Chemicals America, Inc. (hereinafter referred to as "MCA"), plans to acquire all equity and related business assets of the U.S. dental product manufacturer Ultradent Products, Inc. (hereinafter referred to as "Ultradent Products") for approximately $900 million (approximately RMB 6.094 billion). Upon completion of the transaction, Ultradent Products and its global business network, including Ultradent China based in Guangzhou, China, are expected to be integrated into the Mitsui Chemicals Group management system. According to Mitsui Chemicals, the company is advancing its transformation into a high-profit, high-growth global specialty chemicals business. Under its "VISION 2030" strategy, the company positions the medical field as the third pillar following vision care and agricultural chemicals businesses. Among these, the oral care business is regarded as the core of the medical segment. The company plans to drive further growth through M&A and global expansion, setting financial targets for this business: an Operating Margin (ROS) of 15% by FY2028 and a Return on Invested Capital (ROIC) of over 9%.
As disclosed, since acquiring Kulzer from the Heraeus Group in 2013, the company has continuously deepened its investment in the oral care market. The acquisition of Ultradent Products aims to build a global oral care platform from material R&D to clinical application by integrating Mitsui Chemicals' chemical technology, Ultradent Products' clinical expertise, and Kulzer's restorative workflow. Mitsui Chemicals stated that upon completion of the acquisition, the group may become the world's second-largest dental materials group.
Public information shows that Ultradent Products was founded in 1978, headquartered in South Jordan, Utah, USA, and specializes in teeth whitening and dental restorative materials. According to data disclosed by Mitsui Chemicals, Ultradent Products' consolidated sales in 2025 reached $372 million, with a Net Profit Attributable to Shareholders of the Parent Company of $24 million. Additionally, Mitsui Chemicals believes that Ultradent Products has established a direct sales system covering dental clinics and possesses a strong customer base in the U.S. market. The company believes this acquisition will further strengthen its business layout in the healthcare market. Notably, according to a previous report by DENTALGOODNEWS (Leading Dental Industry Media, DGN), just before the acquisition (June 5, 2026), Ultradent Products announced the acquisition of Azena Medical, a U.S. manufacturer of dental soft tissue laser equipment, fully integrating its Gemini™ soft tissue laser team. Furthermore, Mitsui Chemicals stated that to achieve synergies as early as possible after the acquisition, it plans to transfer the global headquarters functions of the oral care business from Japan to a newly established holding company in the U.S. The President of MCA will be concurrently held by the Vice President of Mitsui Chemicals' Life & Health Solutions Business Division to accelerate decision-making efficiency in the local market.
Based on the company's disclosed regional revenue structure, after the acquisition, the revenue share of the Americas market in the Life & Healthcare Solutions (L&HC) business is expected to increase from the current 14% to 25%; the share for Europe, the Middle East, and Africa (EMEA) is expected to be 20%, Asia 25%, and Japan will decrease from 35% to 30%. Mitsui Chemicals stated that it will drive the release of synergies through product cross-selling, new product development, and technology integration, while continuously improving its global oral care business layout. According to the announcement, the parties plan to sign the final acquisition agreement on June 12, 2026. MCA expects to complete the establishment of the U.S. holding company by September 2026 and complete the transaction closing after obtaining regulatory approvals, including antitrust and foreign investment reviews. The expected completion time disclosed in the announcement is September 2026, but it remains subject to the progress of regulatory approvals in various jurisdictions.
